Terms of Service

Welcome to OCIO Studio, a tool designed for configuring OpenColorIO (OCIO) workflows. These Terms of Service ("Terms") govern your access to and use of OCIO Studio’s software, services, and website (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Definitions
- OCIO Studio: The software, services, and website provided by OCIO Studio for configuring OpenColorIO workflows.
- OpenColorIO (OCIO): The open-source color management system developed by the Academy Software Foundation, used within OCIO Studio under the BSD 3-Clause License.
- User: Any individual or entity accessing or using the Services.
- Content: Any data, configurations, color profiles, or other materials created, uploaded, or processed through the Services, such as OCIO configurations.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Services. By using the Services, you represent and warrant that you meet these requirements.
3. License to Use the Services
3.1 Grant of License
OCIO Studio grants you, the User, a non-exclusive, non-transferable, revocable license to use the Services for personal or professional purposes, subject to these Terms and compliance with the OpenColorIO license where applicable.
3.2 Commercial Use Restrictions
Commercial use of the Services requires an active paid license. Users without a paid license may only use the Services for personal, educational, or evaluation purposes. Commercial use includes, but is not limited to: (a) using the Services in connection with any business operations, commercial projects, or revenue-generating activities; (b) creating configurations for use in commercial productions, films, games, or other commercial media; (c) providing services to clients or customers using the Services; or (d) using the Services within a commercial organization or enterprise, regardless of whether the specific use directly generates revenue. Organizations and individuals engaged in commercial activities must obtain a paid license before using the Services for any commercial purpose.
3.3 Restrictions
You, the User, may not:
- Modify, reverse-engineer, decompile, or disassemble the Services, except as permitted by applicable law or the OpenColorIO license.
- Distribute, sublicense, or sell the Services or any part thereof without authorization.
- Resell, redistribute, or provide access to the Services to third parties for compensation or commercial gain.
- Use the Services for any illegal or unauthorized purpose.
- Remove or alter any proprietary notices, trademarks, or open-source license notices (including those related to OpenColorIO) within the Services.
4. User Content
4.1 Ownership
You, the User, retain full ownership and all intellectual property rights in any Content you create, upload, or process through the Services, including but not limited to OpenColorIO configurations and color profiles. OCIO Studio claims no ownership or rights over your Content beyond the limited license necessary to provide the Services.
4.2 License to OCIO Studio
By uploading or creating Content, you, the User, grant OCIO Studio a worldwide, non-exclusive, royalty-free, limited license to host, store, and process your Content solely for the purpose of providing, operating, and improving the Services. OCIO Studio will not share, distribute, or use your Content for any other purpose, nor will it disclose your Content to third parties except as required by law or to comply with our legal obligations.
4.3 Responsibility
You, the User, are solely responsible for your Content, including ensuring it does not infringe third-party rights or violate applicable laws. You represent and warrant that you have all necessary rights to upload and process your Content through the Services.
5. Intellectual Property
5.1 OCIO Studio IP
The Services, including all proprietary software, documentation, trademarks, and other materials (excluding OpenColorIO components and your Content), are owned by OCIO Studio or its licensors and are protected by intellectual property laws.
5.2 OpenColorIO
OCIO Studio incorporates OpenColorIO, which is licensed under the BSD 3-Clause License. The following notice applies to OpenColorIO components:

5.3 Feedback
If you, the User, provide feedback, suggestions, or ideas about the Services, you grant OCIO Studio a perpetual, irrevocable, royalty-free right to use and incorporate such feedback without compensation. Feedback does not include your Content, which remains your property as outlined in Section 4.1.
6. Privacy
Your use of the Services is subject to our Privacy Policy, which details how we collect, use, and protect your personal information and Content in compliance with applicable data protection laws, including GDPR and CCPA. We are committed to safeguarding your Content and personal data, ensuring it is not shared or disclosed except as necessary to provide the Services or comply with legal obligations. By using the Services, you, the User, consent to our data practices as described in the Privacy Policy.
7. Data Security
OCIO Studio employs industry-standard technical and organizational measures to protect your Content from unauthorized access, disclosure, or loss. Your Content is stored securely and is not shared with third parties, except as required to provide the Services (e.g., cloud hosting providers bound by strict confidentiality agreements) or as mandated by law. We do not access or use your Content for any purpose other than to operate and improve the Services. In the event of a data breach, we will notify affected Users promptly in accordance with applicable laws.
8. Prohibited Conduct
You, the User, agree not to:
- Use the Services to create, store, or distribute malicious code or content.
- Interfere with or disrupt the Services, including through hacking or denial-of-service attacks.
- Use automated tools (e.g., bots, scrapers) to access or extract data from the Services without permission.
- Violate any applicable laws, regulations, third-party rights, or the terms of the OpenColorIO license.
9. Termination
9.1 By You
You, the User, may stop using the Services at any time.
9.2 By OCIO Studio
We may suspend or terminate your access to the Services if you, the User, violate these Terms, engage in prohibited conduct, or for any other reason at our sole discretion.
9.3 Effect of Termination
Upon termination, your license to use the Services ends, and you, the User, must cease all use. OCIO Studio is not responsible for any loss of Content upon termination, but we will not retain, use, or share your Content after termination except as required by law.
10. Disclaimers
10.1 As-Is Basis
The Services, including OpenColorIO components, are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
10.2 Accuracy
OCIO Studio does not guarantee the accuracy, reliability, or completeness of the Services or any Content generated through them.
11. Limitation of Liability
To the fullest extent permitted by law, OCIO Studio and its affiliates, officers, directors, employees, or agents (and, with respect to OpenColorIO, its contributors) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or use, arising from or related to your use of the Services, even if advised of the possibility of such damages. In no event will OCIO Studio’s total liability exceed $100.
12. Indemnification
You, the User, agree to indemnify and hold harmless OCIO Studio, its affiliates, officers, directors, employees, agents, and OpenColorIO contributors from any claims, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your Content, or your violation of these Terms or the OpenColorIO license.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to its conflict of law principles.
13.2 Dispute Resolution
Any disputes arising from these Terms or the Services will be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You, the User, waive any right to participate in a class action lawsuit or class-wide arbitration.
14. Changes to These Terms
OCIO Studio may update these Terms from timeshe time. We will notify you, the User, of material changes by posting the updated Terms on our website or through the Services at least 30 days before they take effect. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
15. OpenColorIO Acknowledgment
OCIO Studio is built to work with OpenColorIO, an open-source project maintained by the Academy Software Foundation. OCIO Studio does not claim ownership of OpenColorIO. Your use of OpenColorIO within the Services is subject to the BSD 3-Clause License as outlined in Section 5.2.
16. Miscellaneous
16.1 Entire Agreement
These Terms, along with the Privacy Policy and the OpenColorIO license, constitute the entire agreement between you, the User, and OCIO Studio regarding the Services.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
16.3 No Waiver
OCIO Studio’s failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
16.4 Assignment
You, the User, may not assign these Terms or your rights under them without our prior written consent. OCIO Studio may assign these Terms at its discretion.
